Definitions and Interpretation

In these Terms and Conditions, the following terms have the meanings set out below unless context requires otherwise:

verdantid — the advisory practice operating under the name verdantid, with principal offices at Suite 18-03, Menara Hap Seng, Jalan P. Ramlee, 50250 Kuala Lumpur, Malaysia.

Client — the individual or entity that engages verdantid to provide advisory services pursuant to a Scope of Engagement.

Engagement — an advisory matter accepted by verdantid under a defined Scope of Engagement following an intake conversation.

Scope of Engagement — the written document or written communication confirming the subject matter, deliverables, timeline, and fee applicable to a particular Engagement.

Deliverables — documents, memoranda, marked-up drafts, written guidance, and other materials prepared by verdantid in the course of an Engagement.

Website — the verdantid website accessible at verdantid.pro and its associated pages.

References to a statute or statutory provision include any amendments or re-enactments in force from time to time. The singular includes the plural and vice versa. Headings are for convenience only and do not affect interpretation.

Scope of Services

verdantid provides corporate law advisory services to businesses and individuals in Malaysia. Current service areas include company formation and structuring advisory, commercial contract drafting and review, and corporate governance and board advisory programmes.

All advisory services are provided within the scope confirmed in writing prior to commencement of work. Advice provided by verdantid applies to the facts and circumstances disclosed at the time of the Engagement. verdantid does not provide ongoing monitoring or update advice in respect of matters addressed in a closed Engagement unless a new Engagement is agreed.

Services described on this Website are provided for general information. They do not constitute legal advice and do not create an advisory relationship between verdantid and a visitor to the Website. An advisory relationship arises only upon confirmation of a Scope of Engagement.

Engagement Process

Engagements begin with an intake conversation to establish the commercial context, relevant facts, and the scope of work required. Following that conversation, verdantid will provide a written Scope of Engagement setting out the deliverables, indicative timeline, and fee.

Work commences upon written confirmation by the Client of the Scope of Engagement and, where applicable, receipt of the engagement deposit. verdantid reserves the right to decline to accept an Engagement at its discretion, including where a potential conflict of interest is identified.

Modifications to the scope of an agreed Engagement must be confirmed in writing by both parties. Additional work requested outside the agreed scope may be subject to a revised fee, which will be communicated to the Client before additional work proceeds.

Fees and Payment

Fees for each Engagement are set out in the Scope of Engagement. Published prices on the Website are indicative and may be subject to adjustment depending on the complexity and scope of the specific matter.

Where an engagement deposit is required, this will be specified in the Scope of Engagement. The deposit is applied against the total engagement fee upon completion of the work. Deposits are non-refundable where the Client withdraws from the Engagement after substantive work has commenced, unless otherwise agreed in writing.

Invoices are payable within fourteen days of issue unless a different period is specified in the Scope of Engagement. Payment may be made by bank transfer to account details provided on the invoice. verdantid reserves the right to withhold delivery of Deliverables until outstanding amounts are settled.

Where an Engagement is not completed due to circumstances on the Client's side (including failure to provide information necessary to proceed), verdantid may invoice for work completed to that point on a time-apportioned basis.

Client Responsibilities

The quality of advice provided by verdantid depends on the accuracy and completeness of information supplied by the Client. The Client undertakes to:

Provide accurate, complete, and timely information relevant to the Engagement as requested during the intake process and throughout the course of the work.

Notify verdantid promptly of any changes in circumstances that may affect the subject matter of the Engagement.

Review Deliverables in a timely manner and raise queries or corrections within a reasonable period.

Ensure that any third party whose information is provided to verdantid has consented to that information being shared for the purpose of the Engagement.

verdantid accepts no responsibility for advice that is inaccurate or incomplete as a result of information withheld or incorrectly provided by the Client.

Confidentiality

verdantid treats all information provided by Clients in connection with an Engagement as confidential. We do not disclose Client information to third parties except where: (a) disclosure is required by applicable law or regulatory authority; (b) the Client has given prior written consent; or (c) the information is independently known to verdantid without restriction.

The Client agrees to treat as confidential any advice, Deliverables, or methodologies provided by verdantid that are not publicly available, and not to share such materials with third parties without verdantid's prior written consent, except where the purpose of the Engagement expressly requires sharing with specified counterparties.

Confidentiality obligations survive the termination or completion of an Engagement and remain in effect for a period of five years thereafter, subject to any overriding obligations imposed by law.

Intellectual Property

All methodologies, frameworks, precedent materials, and general know-how used by verdantid in the preparation of Deliverables remain the intellectual property of verdantid.

Upon full payment of the engagement fee, verdantid grants the Client a non-exclusive, non-transferable licence to use the Deliverables for the internal commercial purposes of the Client in connection with the subject matter of the Engagement. Deliverables may not be reproduced, published, or shared with third parties for commercial purposes without the written consent of verdantid.

Content on the Website, including text, layout, and structural elements, is the property of verdantid. It may not be reproduced in whole or in part without written permission.

Limitation of Liability

verdantid's liability in connection with any Engagement is limited to the total fees paid by the Client for that specific Engagement. verdantid shall not be liable for any indirect, consequential, or special loss arising from reliance on advice or Deliverables, including but not limited to loss of profit, loss of contract, or loss of anticipated savings.

Advice provided is based on the law in force in Malaysia at the time of the Engagement. verdantid does not accept responsibility for changes in law occurring after the Deliverables are provided, nor for the application of foreign law.

Nothing in these Terms and Conditions limits liability for fraud, wilful misconduct, or any liability that cannot be excluded by applicable Malaysian law.

Termination

Either party may terminate an Engagement by providing written notice to the other. Where the Client terminates an Engagement after work has commenced, fees for work completed to the date of termination are payable.

verdantid may terminate an Engagement with immediate effect where: (a) the Client provides materially false or misleading information; (b) a conflict of interest arises that cannot be resolved; (c) the Client requests verdantid to act in a manner that would be improper or contrary to applicable law; or (d) an invoice remains unpaid beyond 30 days of its due date.

On termination, verdantid will provide the Client with copies of any Deliverables completed at the point of termination, subject to settlement of any outstanding fees.

Disclaimer of Warranties

The Website and its content are provided on an "as is" basis. verdantid makes no representation that the Website will be uninterrupted, error-free, or that any errors will be corrected. Content on the Website is provided for general information only and does not constitute legal advice.

While verdantid takes reasonable steps to ensure that information on the Website is accurate and up to date, no warranty is given as to the completeness or currency of that information. Visitors should not rely on Website content as a substitute for obtaining professional advice specific to their circumstances.

Governing Law and Dispute Resolution

These Terms and Conditions and any Engagement governed by them are subject to the laws of Malaysia. The parties submit to the non-exclusive jurisdiction of the courts of Malaysia for the resolution of any dispute arising from or in connection with these Terms or any Engagement.

Before commencing formal proceedings, the parties agree to make reasonable efforts to resolve any dispute through direct written communication within 30 days of the dispute being raised. This clause does not prevent either party from seeking urgent injunctive relief from an appropriate court.

Amendments

verdantid reserves the right to amend these Terms and Conditions from time to time. The current version will be published on the Website with an updated date. Engagements in progress at the time of any amendment will continue to be governed by the version in effect at the time the Scope of Engagement was confirmed, unless both parties agree otherwise in writing.

Continued use of the Website following any amendment constitutes acknowledgement of the revised Terms.

Website Use

Users of the Website may access and use its content for personal, non-commercial informational purposes. Systematic reproduction, redistribution, or use of Website content for commercial purposes is not permitted without written consent from verdantid.

The Website may contain links to third-party websites. verdantid does not endorse those websites and is not responsible for their content, accuracy, or privacy practices. Such links are provided for convenience only.

verdantid takes reasonable steps to ensure the Website is free from malicious code; however, users access the Website at their own risk. verdantid accepts no liability for any damage to a user's equipment or data arising from use of the Website.
