Chapter I — Engagements

Three Defined Engagements for Malaysian Businesses

Each service at verdantid is structured around a specific area of corporate legal need. The scope, deliverables, and fee are defined before the work begins.

Chapter II — Methodology

How Every verdantid Engagement Proceeds

Each engagement follows the same underlying structure regardless of which service applies. This consistency means clients know what to expect before the work begins and can plan around defined phases rather than an open-ended process.

The approach places particular weight on the intake stage — understanding the commercial context before any document is prepared — and on the closing stage, where the client leaves with a written record of what was done and why.

01

Intake Conversation

A structured discussion to understand the commercial background, ownership or contractual context, and what the client is trying to achieve. No documentation is prepared before this stage is complete.

02

Scope Confirmation

A written confirmation of what the engagement covers, the anticipated timeline, and the fixed fee that applies. Clients review and confirm before any billable work begins.

03

Preparation & Review

Documents are prepared with explanatory notes, or in the case of the governance programme, advisory is delivered at scheduled touchpoints. Written progress summaries are issued through this phase.

04

Handover & Close

The engagement closes with a written handover memorandum summarising what was completed, key decisions made, and any points the client should monitor going forward.

Chapter III — Engagement 01

Company Formation & Structuring Advisory

An advisory engagement for founders and shareholders considering the formation of a new company in Malaysia, or the restructuring of an existing entity. The engagement begins with a structured intake conversation to understand commercial intent, ownership arrangements, and longer-term plans.

The team then prepares incorporation documents, drafts the constitution where required, and reviews initial shareholder arrangements. Work is delivered over a defined window, with regular written summaries so the client always has a clear view of progress.

What Is Included

  • Structured intake conversation on commercial intent and ownership
  • Preparation of incorporation and constitutional documents
  • Shareholder arrangement review and initial share structure advice
  • Registered office considerations and SSM filing support
  • Closing handover memorandum

Chapter IV — Engagement 02

Commercial Contract Drafting & Review

A focused service for clients who need careful preparation or review of commercial contracts — supplier agreements, distribution arrangements, service contracts, joint venture frameworks, and similar instruments.

Each engagement begins with a short scoping conversation about commercial purpose, the relationship between parties, and any sensitive points that warrant particular attention. Clients receive a marked-up draft with explanatory notes so they understand the rationale behind each clause and can discuss alternatives where useful.

What Is Included

  • Scoping conversation on commercial purpose and party relationships
  • Drafting or review of the commercial contract
  • Marked-up draft with explanatory clause notes
  • Identification of risk points and suggested alternatives
  • One revision round within engagement fee

Fixed Fee

Chapter V — Engagement 03

Corporate Governance & Board Advisory Programme

A more comprehensive engagement aimed at company directors, board secretaries, and senior management who want considered support across governance matters. The programme covers board procedure, fiduciary obligations, conflict-of-interest frameworks, and compliance with Companies Act requirements relevant to the entity.

The engagement is structured around scheduled touchpoints rather than ad-hoc requests, so clients have a predictable rhythm of advice and the time to consider recommendations. Where appropriate, the team also prepares meeting documentation, reviews board charters, and provides written guidance on resolutions.

What Is Included

  • Board procedure and meeting documentation review
  • Fiduciary obligation guidance for directors
  • Conflict-of-interest framework preparation
  • Board charter review and written resolution guidance
  • Scheduled advisory touchpoints throughout the programme
